What are the steps to establish a company in the United Arab Emirates?
The process of establishing a business in the United Arab Emirates goes through a series of steps that include the following:
-
First: Determining the nature of the activity
The nature of the economic activity determines the legal entity of the company and the type of license, whether it is commercial, industrial, professional, craft, tourism, or others. Additionally, the license can cover more than one business activity.
-
Second: Determining the legal form
Based on the legal form of the company, it may be required to draft and sign articles of association.
-
Third: Choosing a location or address for the business
All companies in the United Arab Emirates must have a physical address for the economic activity. The commercial buildings and location must comply with the requirements set by the Economic Development Department in each Emirate, as well as land allocation regulations from the municipality or relevant authority. An office and warehouse lease agreement must be provided, as some Emirates require a certified document.
-
Fourth: Obtaining additional government approvals
In some cases, certain activities require obtaining special approvals for licensing from government bodies (federal or local) that regulate those activities. Here are examples of activities that require approvals:
Ministry of Interior: The Ministry of Interior issues approvals for public transportation services, driving school operations, fire extinguishing equipment, alarm and protection systems, used car dealerships, used spare parts, and car rentals.
Ministry of Justice: Legal activities - Legal consultations.
Municipal Department of the concerned Emirate: Engineering and architecture activities.
Telecommunications Regulatory Authority: Telecommunications activities.
Executive Council: Tourism and travel - Public services - Trading charter - Ship agencies and maritime agencies - Car clubs - Air transport rental - Branches of foreign companies.
Ministry of Economy: Insurance - Insurance consulting.
Health Authority of the concerned Emirate: Health-related activities.
Supreme Petroleum Council: Gas and oil field services, oil drilling operations. -
Fifth: Applying for the commercial license
Documents required for issuing licenses for all legal forms:
• Receipt of preliminary approval and all previously submitted documents.
• A copy of the lease agreement certification.
• The establishment contract certified as per the regulations.
• Approval from other government entities for the activity, if required.
• Fees must be paid within a specific period (usually 30 days) upon issuance of the payment receipt.

What is the importance of having a legal management in commercial companies?
No matter the type or activity of the company, one of its most important departments is the legal management
The legal management aims to provide legal support to the company starting from the company's establishment contract, its incorporation procedures, and all matters related to the company.
The legal management also plays a role in the decision-making process issued by the company's administrative leadership. An administrative decision must have a legal reference it relies on, which are the systems and regulations that define legal statuses and set the substantive rules addressed by the administrative decision.
Therefore, a decision-maker is not only concerned with the reasons and objectives of his decision, but it must also conform to the system and regulations to be protected from challenges that could lead to its modification or annulment. -
What are the forms of commercial companies in the United Arab Emirates?
Following the issuance of Federal Law No. (26) of 2020 regarding commercial companies, foreign investors were allowed to own all legal forms of commercial companies, such as: public joint stock companies, private joint stock companies, limited liability companies, simple limited partnerships, and joint-liability companies.

What is a Sole Proprietorship Company?
A sole proprietorship company is one that is solely owned by one person, whether a natural person or a legal entity, without any other partners involved. It is subject to the same regulations that apply to limited liability companies, and the owner is only liable for the company’s obligations up to the amount of capital specified in the company’s incorporation contract.
This allows the real owners of companies to remove nominal sponsors and partners and re-register the companies in the names of their true owners without the need for a 51% national ownership share, which used to represent a majority stake in the company.
